As between you
and us, we exclusively own all intellectual property rights relating to
TurboCHO™ Protein Expression Kit, which includes the components of TurboCHO™
Cells, TurboCHO™ Expression Medium, TurboCHO™ Transfection Reagent, TurboCHO™
Feeding Medium, and TurboCHO™ Positive Control Plasmid. Our sale of TurboCHO™
Protein Expression Kit or any of its components to you grants you only a
limited, nontransferable and non-sublicensable right under our intellectual
property to use the quantity of TurboCHO™ Protein Expression Kit or any of its
components purchased from us for your internal use to conduct recombinant
protein expression experiments. No right to propagate, transfer, reverse
engineer, decompile, disassemble, distribute, or resell TurboCHO™ Protein
Expression Kit or any of its components is conveyed expressly, by implication,
or by estoppel. Unless expressly permitted by us in writing, you will not
modify, change, remove, cover or otherwise obscure any of our brands, trade or
service marks on TurboCHO™ Protein Expression Kit or any of its components.
Unless we expressly state otherwise separately, we give no rights to use
TurboCHO™ Protein Expression Kit or any of its components in any commercial
application, including manufacturing, quality control, commercial services such
as reporting the results of your activities for a fee or other consideration,
or in vitro diagnostic uses, ex vivo or in vivo therapeutic uses, or any type
of consumption by or application to humans or animals. If you need commercial
use rights in respect of TurboCHO™ Protein Expression Kit or any of its
